Terms and Conditions of Use

1. Introduction

Welcome to Calenvar.com ("Calenvar," "we," "us," or "our"), a product of Bocaracode S.R.L. These Terms and Conditions ("Terms") govern your access to and use of Calenvar's website, mobile applications, and related services (collectively, the "Service"). By accessing or using the Service in any manner, you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

2. Eligibility

You represent and warrant that you are at least 13 years of age (or the higher minimum age required by the laws of your jurisdiction) and have authority to enter into these Terms. If you are accessing or using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Description of the Service

Calenvar provides a digital calendar and journaling application that allows users to record, track, and review events and personal logs ("Entries"). The Service also offers optional AI-assisted features, including audio transcription, semantic search, chat, content extraction, and summarization. Using those features necessarily involves sending the relevant content to the AI subprocessor described in our Privacy Policy. We are currently offering the Service free of charge as we actively develop and refine its features during our beta phase ("Beta").

4. Beta Phase; Feature Changes

1. You acknowledge that Calenvar is in Beta. During Beta, we may add, modify, suspend, or remove features at any time without notice.
2. We make no guarantees that any feature will become a permanent part of the Service. All Beta features are provided "as-is" and may cease to exist.

5. Account Registration & Security

1. You may be required to create an account and provide a valid email address.
2. If you choose to sign in with Google, you authorize us to obtain your email address and display name from your Google profile in order to create or match your Calenvar account.
3. You are responsible for safeguarding your account credentials. You agree not to share your password and to notify us immediately if you suspect any unauthorized use.

6. User Content

1. "User Content" means any text, images, audio, data, or other materials you upload or record using the Service.
2. You retain ownership of your User Content. You grant Calenvar a non-exclusive, worldwide, royalty-free license to host, store, process, and display your User Content solely to provide the Service, including transmitting it to the AI subprocessor described in our Privacy Policy when you invoke an AI feature.
3. You represent that you have all necessary rights to use and share your User Content and that it does not violate any law or third-party right.

7. Privacy and Data Protection

1. We are committed to handling your information ethically in accordance with our Privacy Policy, which lists the third-party subprocessors that help us run the Service.
2. Because the Service is in Beta, we do not guarantee the absolute security or accuracy of stored data. You acknowledge that data loss, corruption, or exposure may occur, and you agree that we shall not be liable for any such event.

8. Disclaimers; Limitation of Liability (Free Beta)

1. While the Service is offered free of charge during Beta, it is provided on an "as-is" and "as-available" basis, with all faults and without warranty of any kind. Calenvar, Bocaracode S.R.L, and their affiliates expressly disclaim all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
2. You use the Service entirely at your own risk. We make no guarantees that the Service will be uninterrupted, error-free, or completely secure.
3. Under no circumstances shall Calenvar or Bocaracode S.R.L be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages arising from your use of the free Beta Service, including but not limited to loss of data, loss of profits, or business interruption, even if we have been advised of the possibility of such damages.
4. Because the Service is currently provided free of charge, you agree that Calenvar and Bocaracode S.R.L have no obligation to compensate or indemnify you in relation to any claim, loss, or damage of any kind.
5. When we introduce paid features or plans, additional terms will be presented to you for acceptance, and the limitations of liability applicable to paid users may differ as required by applicable law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Calenvar, Bocaracode S.R.L, and each of their officers, directors, employees, and agents from and against all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Service or any violation of these Terms.

10. Feedback and Suggestions

Any ideas, suggestions, feature requests, or other feedback you submit to Calenvar via our in-app forum or any other channel are deemed non-confidential. You grant Calenvar and Bocaracode S.R.L a perpetual, worldwide, royalty-free, sublicensable license to use, modify, reproduce, and incorporate such feedback into the Service or related products, without any obligation to compensate you. You retain ownership of your underlying ideas; this section only grants us a license to act on them.

11. Modification of Terms

We may revise these Terms at any time. When we do, we will update the "Last updated" date above and post the revised Terms on Calenvar.com. For changes that materially affect your rights or obligations, we will make a reasonable effort to notify you by email or in-app notice at least 30 days before the change takes effect. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

12. Account Inactivity and Deletion

1. In-app deletion only. Account deletion must be initiated by you, while signed in, from the "Settings" page within the Service. We do not accept account-deletion requests by email or any other out-of-band channel, because we cannot reliably verify the requester's identity that way and someone impersonating you could otherwise destroy your data. The only exception is if the Service or the in-app deletion control is broken; in that case, contact us and we will guide you through additional verification.
2. Forum content is your responsibility before deletion. Once your account is deleted, your forum threads and posts are reattributed to an anonymous author and there is no longer any way to map them back to you. If you want any of your forum content removed, delete it yourself from the forum interface (using the delete button on each of your threads and posts) before deleting your account. We will not be able to remove specific anonymized posts on your behalf afterwards.
3. What happens when you delete. Upon your request: (a) we immediately anonymize your email and username, remove your password, and revoke every active session; (b) within thirty (30) days we purge your Entries, Variables, Workspaces, Conversations, configuration, and quota records from our active systems; (c) any data remaining in encrypted backups disappears as those backups rotate, within a maximum of 30 days; (d) forum threads and posts you did not delete yourself remain visible but reattributed to an anonymous author. The full retention and deletion policy is described in section 11 of our Privacy Policy.
4. Inactivity Removal. We may, at our sole discretion, delete any account that has not been used to access the Service for more than one (1) year from the date of its last activity. Removal follows the same anonymization and purge process described above.

13. Acceptable Use

When using the Service, you agree not to:

1. Upload, store, or transmit content that is illegal, infringing, defamatory, or that violates the rights of any third party;
2. Use the Service to send spam, phishing, malware, or any unsolicited communication;
3. Attempt to bypass quota limits, rate limits, or any other technical or security control;
4. Scrape, automate, or harvest data from the Service beyond the limits expressly allowed by your plan or by our public APIs;
5. Reverse-engineer, decompile, or interfere with the integrity of the Service or its infrastructure;
6. Use the AI features to generate content that is illegal, that targets or harasses a specific person, or that violates our subprocessor's acceptable use rules.

We reserve the right to suspend or terminate accounts that violate this section.

14. Forum Conduct

The in-app forum is a shared, public space. When you post there, you agree to keep discussion civil and on-topic, and to avoid harassment, hate speech, doxing, spam, and illegal content. We reserve the right, at our sole discretion, to edit, hide, move, or delete any thread or post, and to suspend or terminate accounts that repeatedly violate these rules.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice. Upon termination, your right to use the Service immediately ceases. Sections 5, 6, 7.2, 8, 9, 10, 12, 13, 14, 16, and 17 shall survive termination.

16. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or related to them will be governed by the laws of Costa Rica without regard to conflict-of-law provisions. Any legal action arising under these Terms must be brought in the courts located in San José, Costa Rica, and you consent to personal jurisdiction and venue there.
